Terms and Conditions
Effective from August 2026
Happy Quartz Path Godo Kaisha
12-23 Kamigofukumachi, Hakata-ku, Fukuoka 812-0036
1. Introduction
These Terms and Conditions form a binding agreement between Happy Quartz Path Godo Kaisha ("the Company") and any party engaging its services described on this site. By proceeding with an engagement, you agree to these terms.
2. User obligations
- Provide accurate information necessary for the Company to carry out agreed work.
- Ensure you hold the necessary rights to share any documents provided to the Company.
- Comply with applicable laws and regulations in your use of any delivered system.
3. Liability and warranties
- Services are provided on the basis of the scope agreed in writing before work begins.
- The Company does not warrant that any system will be free of all errors, though reasonable care is taken in its construction.
- To the extent permitted by law, the Company's liability is limited to the value of the specific service engaged.
- Neither party is liable for delays or failures caused by circumstances beyond reasonable control.
4. Scope, fees and timing
- Fixed scope: Each engagement is priced on a fixed scope agreed in writing before work starts, not on hourly time. Current prices are ¥29,800 for Internal Knowledge Base Setup (5–6 weeks), ¥26,000 for Document Classification Setup (4 weeks), and ¥17,500 for a Data Readiness Assessment (2 weeks, up to 1,000 sample documents).
- What is included: Knowledge Base Setup covers document preparation, access rules by staff group, a search interface, and maintainer training. Classification Setup covers field mapping, a connection to one system, and a monthly review summary. The Readiness Assessment delivers a written findings report and an estimate of the preparation effort needed.
- Additional work: A second system connection, document sets beyond the agreed volume, or further staff groups are discussed and priced before any extra work begins. Nothing outside the written scope is charged without that agreement.
- When the timeline starts: The weeks stated begin once the Company has received the agreed documents and system access. Where a sample arrives late or in an unexpected format, the Company will propose a revised date rather than shorten the work.
- Payment: Fees are invoiced in Japanese yen as set out in the written scope. If an engagement is ended early by the client, the work completed up to that point is charged on a proportionate basis and explained in writing.
5. Documents entrusted to the Company
- Use: Manuals, contracts, delivery notes and correspondence provided by the client are used only to build or assess the agreed system. They are not used to build systems for other clients.
- Personal information: Business documents often include names, addresses or staff details. These are handled in accordance with the Act on the Protection of Personal Information, and the client is asked to flag any document class containing sensitive records so that access rules can reflect it from the start.
- Return and deletion: At the end of an engagement, working copies held by the Company are deleted, and the client receives written confirmation on request. The delivered knowledge base or classification rules remain with the client.
- Confidentiality: Both parties keep confidential any non-public information received from the other during the engagement, and this continues after the engagement ends.
6. How delivered systems should be relied on
- Answers name their sources: Each answer from a knowledge base names the document it drew on so it can be checked. The client remains responsible for decisions made using those answers, particularly where a source document is out of date.
- Unclassified documents: Documents the classification step cannot place with confidence are set aside for a person. Reviewing that queue regularly is the client’s responsibility, and the monthly summary is provided to support it.
- Changes on the client side: If the client changes its document formats, folder structures or connected system after handover, the system may need adjustment. That work is quoted separately.
7. Maintainer handover
- Training: Knowledge Base Setup ends with training for the staff member who will maintain the knowledge base, covering how to add, retire and re-check documents so that named sources stay current.
- After handover: Questions raised within the first month after handover about how the delivered system behaves are answered without charge. Changes to the system after that point are scoped as new work.
8. Legal information
- Governing law: these terms are governed by the laws of Japan.
- Dispute resolution: parties will first seek to resolve disputes through direct discussion in good faith; if that fails, the dispute is brought before the Fukuoka District Court.
- Severability: if any clause is found unenforceable, the remaining terms continue to apply.
- Modification: these terms may be updated from time to time, with the current version always available on this page.
